Acceptance and Scope

These Terms of Service ("Terms") govern your use of this website and the inquiries, quotes, and orders you make with Centric RF, LLC ("Centric RF," "we," "us"). By using this website or submitting an inquiry, you agree to these Terms.

These Terms are structured so that each provision applies where it is relevant to the specific quote, order, product, custom solution, or commercial agreement. Not every provision applies to every transaction. If a written quote, order acknowledgment, or signed agreement with us contains terms that differ from these Terms, those specific terms apply to that transaction.

Information and Inquiry Website

This website provides information about our RF and microwave component supply and a way to submit inquiries. It does not currently offer an online shopping cart, online checkout, customer account portal, or order tracking. Orders are arranged through quotes, purchase orders, invoices, or other written agreement with us.

Products and Services Covered

These Terms apply to the sale and supply of RF and microwave components and related services, including coaxial adapters, RF attenuators, cable assemblies, connectors, power dividers, couplers, terminations, related electronic components, and custom cable and adapter solutions.

Product Inquiries and Technical Specifications

Website content is general information. It is not a product datasheet, and illustrations show generic component types rather than specific products. Technical specifications relevant to your purchase are those confirmed in your quote, order documentation, or manufacturer documentation for the specific product.

Submitting an inquiry, including through the inquiry form, does not create an order and does not confirm a quote, pricing, availability, or a custom solution.

Customer Requirements, Suitability, and Compatibility

You are responsible for the accuracy and completeness of the requirements and information you provide. Whether a component is suitable for, or compatible with, your equipment depends on your actual equipment requirements and the specifications confirmed during the ordering process. Please review quotes and order confirmations carefully before you proceed.

Quotes and Pricing

Pricing is provided in a written quote. Quotes may include conditions such as a validity period, quantity assumptions, and payment terms, and are subject to change until accepted by both parties as stated in the quote. Errors in a quote or order may be corrected.

Product Availability

Availability is not guaranteed by website content or an inquiry. Availability, and any related timing, is confirmed in the quote or order documentation and may change until an order is accepted.

Purchase Orders and Order Acceptance

Where a customer issues a purchase order, the order is subject to our acceptance and to these Terms and the applicable quote. Terms printed on a purchase order that conflict with these Terms or the quote do not apply unless we agree to them in writing.

Invoicing and Payment

Where applicable, payment is invoice-based, and payment terms are stated in the applicable quote or invoice. Deposits or advance payments may be requested for certain orders, such as custom-configured components or special orders, where stated in the quote or order documentation. A deposit or advance payment is not required for every transaction.

Amounts not paid when due may be subject to the remedies stated in the applicable quote, invoice, or agreement and permitted by law.

Order Changes and Cancellations

Requests to change or cancel an order should be made in writing as early as possible. Changes or cancellations may not be possible once an order has been placed with a supplier or manufacturer, or once work on a custom-configured item has begun. Where applicable, charges for changes or cancellations will be as stated in the quote or order documentation.

Custom-Configured Components and Custom Solutions

Custom cable and adapter solutions are configured around the requirements you provide. Where a custom solution applies, its specifications, pricing, timing, and any related conditions are confirmed in writing before the order proceeds. Custom-configured items are made to your specified requirements and may be subject to different change, cancellation, and return conditions, as stated in the applicable quote or order documentation.

A custom solution inquiry does not create a custom manufacturing or supply agreement. Such an agreement exists only if confirmed in writing.

Shipping and Delivery

Where shipping applies to an order, the shipping method, charges, and estimated timing are stated in the quote or order documentation. Shipping and delivery dates are estimates unless we expressly guarantee them in writing. Shipping is not part of every transaction; some orders may be arranged for pickup or another method by agreement.

Receiving and Inspection

Please inspect shipments promptly on receipt and notify us in writing of any shortage, visible damage, or discrepancy with your order, including the order number and a description of the issue. Notifying us promptly helps us resolve the matter, including any claim with a carrier or supplier.

Returns and Exchanges

Where returns or exchanges are available, they require our prior written authorization and are subject to the conditions stated in the applicable quote or order documentation and any applicable manufacturer or supplier policy. Custom-configured and special-order items may not be eligible for return or exchange except where required by law or where the item does not conform to the specifications confirmed in your order.

Customer Intellectual Property and Technical Documents

You keep ownership of the drawings, specifications, and other technical documents you provide. You give us permission to use them only as needed to evaluate your request, prepare a quote, source components, and fulfill an order or custom solution you have requested. You confirm that you have the right to share these materials with us and that using them as you have specified will not knowingly infringe another party’s rights.

Manufacturer Warranties and Disclaimers

We provide a warranty only where one is expressly stated in writing in the applicable quote, order documentation, or agreement. Where a product carries a manufacturer warranty, the terms of that warranty are set by the manufacturer and apply to the product in place of any warranty from us, unless we state otherwise in writing.

Except as expressly stated in writing, and to the maximum extent permitted by law, products and services are provided without warranties of any kind, whether express or implied, including implied warranties of merchantability and fitness for a particular purpose. We do not guarantee electrical performance, compatibility, or compliance for any specific use except as confirmed in writing.

Limitation of Liability

To the maximum extent permitted by law, Centric RF will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or loss of data, arising out of or related to this website, our products, or our services. Any other limit on our liability for a particular transaction is as stated in the applicable quote, order documentation, or written agreement.

Nothing in these Terms limits liability that cannot be limited under applicable law.

Legal and Export Responsibilities

You are responsible for complying with the laws and regulations that apply to your purchase, use, resale, import, and export of products, including any applicable export or import requirements.

Governing Law

These Terms, and any dispute arising out of or relating to them, this website, or transactions with Centric RF, are governed by the laws of the State of Texas, without regard to its conflict-of-law rules.

Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page shows when they were most recently revised. A quote or order is governed by the Terms in effect when it was accepted, unless the parties agree otherwise in writing.
